1. Introduction and acceptance
These Terms of Service (“Terms”) are a legally binding agreement between you (“User”, “you” or “your”) and Ziroo, Inc., a Delaware C Corporation (“Ziroo”, “we”, “us” or “our”).
Ziroo provides a context-aware artificial intelligence platform that helps teams operate business systems and messaging tools, automate workflows, and connect intelligence, people, and software through natural language (the “Service”).
By creating an account, installing any Ziroo application, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
2. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:
- You are at least 18 years old or the age of legal majority in your jurisdiction.
- You have the legal capacity to enter into a binding agreement.
- You are not barred from using the Service under applicable law.
If you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms.
3. Account registration and security
To access the Service, you may need to create and maintain an account. You agree to provide accurate, complete, and current registration information.
You are solely responsible for:
- Maintaining the confidentiality of your login credentials.
- Ensuring that your account information remains current.
- Immediately notifying Ziroo of any unauthorized use or suspected breach.
- All activities that occur under your account.
4. Description of the Service
Ziroo connects company data, tools, and communication systems and uses artificial intelligence to understand and carry out work. The Service may include, among other things:
- Slack and Microsoft Teams integrations.
- Conversational requests, summaries, drafts, briefings, and recommendations.
- Connected workflows across email, calendar, documents, CRM, analytics, and project tools.
- Automated reports, dashboards, alerts, and scheduled work.
- Actions performed only within the permissions granted by the customer.
Ziroo may add, remove, improve, suspend, or modify Service features at any time. Certain integrations, capabilities, and features may be made available only under specific subscriptions or plans.
5. Subscriptions and payment
5.1 Plans
Starter (Free): Limited Service, subject to stated limits and availability.
Paid plans: Available on individual, monthly, annual, enterprise, or other pricing terms made available by Ziroo.
Enterprise: Custom pricing, terms, security controls, and support options.
5.2 Billing
You authorize Ziroo to charge the payment method associated with your account for all fees and applicable taxes. Subscriptions automatically renew for the same subscription period unless cancelled before renewal.
Fees are non-refundable except where required by law or expressly stated otherwise. You are responsible for all taxes, duties, and government charges associated with your use of the Service.
5.3 Price changes
Ziroo may change pricing or plan features by giving reasonable notice. Continued use of a paid plan after a price change constitutes acceptance of the revised price.
6. User data and content
6.1 User data
You retain all rights, title, and interest in data you submit to, connect to, or make available through the Service, including messages, files, documents, calendar events, emails, account data, prompts, and other content (“User Data”).
6.2 Your responsibilities
You are responsible for ensuring that you have all rights, permissions, notices, and lawful bases required to provide User Data to the Service and to authorize Ziroo to process it.
6.3 License to operate the Service
You grant Ziroo a limited, non-exclusive, worldwide right to host, copy, transmit, process, and display User Data solely as necessary to provide, secure, support, and improve the Service for you.
6.4 Feedback
You may voluntarily provide ideas, suggestions, or feedback. Ziroo may use that feedback without restriction or compensation, provided it does not identify you or disclose your confidential information.
7. Acceptable use
You agree not to use the Service to:
- Violate applicable law, regulation, or third-party rights.
- Threaten, harass, exploit, defraud, or impersonate others.
- Upload malicious software, interfere with the Service, or attempt unauthorized access.
- Reverse engineer, bypass, disable, or interfere with security or usage limits.
- Use the Service to develop or train a competing service or model without written permission.
- Generate or distribute unlawful, deceptive, harmful, discriminatory, or abusive content.
- Use automated systems to scrape, overload, or disrupt the Service.
- Misrepresent AI-generated content as human-generated where disclosure is required.
You are solely responsible for reviewing outputs and ensuring that your use of them is appropriate and lawful. Ziroo may investigate suspected violations and suspend or terminate access where necessary.
8. Intellectual property
The Service, including software, algorithms, user interfaces, documentation, branding, design, text, graphics, and all related intellectual property, is owned by Ziroo or its licensors.
Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service except as expressly permitted in writing.
9. Third-party services and integrations
The Service may integrate with third-party services, including Slack, Microsoft Teams, Google, Stripe, CRM providers, analytics providers, and other customer-authorized tools. Your use of those services is governed by their own terms and privacy policies.
Ziroo is not responsible for third-party services, their availability, their security, or changes they make to their products. You authorize Ziroo to exchange data with a connected service only within the permissions and scopes you approve.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Ziroo does not warrant that the Service will be uninterrupted, error-free, completely secure, or suitable for every use. AI-generated outputs may be incomplete, inaccurate, or inappropriate for a particular situation. You are responsible for reviewing outputs before relying on them or using them to make decisions.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZIROO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE.
ZIROO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO ZIROO DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless Ziroo and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses arising from your use of the Service, your User Data, your violation of these Terms, or your violation of applicable law or third-party rights.
13. Termination
13.1 Termination by you
You may cancel your account at any time through the account settings or by contacting support.
13.2 Termination by Ziroo
Ziroo may suspend or terminate your account if you breach these Terms, fail to pay fees, create security or legal risk, or use the Service in a way that may harm Ziroo, users, or third parties.
13.3 Effect of termination
Upon termination, access to the Service ends. Sections that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, limitations of liability, indemnification, and governing law. Data handling after termination is described in the Privacy Policy.
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. You agree that disputes will first be addressed through good-faith informal discussions.
Except where prohibited by law, unresolved disputes shall be resolved through binding individual arbitration rather than in court. You and Ziroo waive the right to a jury trial and the right to participate in a class, collective, consolidated, or representative action.
15. Changes to these Terms
Ziroo may update these Terms from time to time. We will notify you of material changes before they take effect. Continued use of the Service after the effective date of revised Terms constitutes acceptance of the revised Terms.
16. General provisions
These Terms, together with the Privacy Policy and any applicable order form, constitute the entire agreement between you and Ziroo regarding the Service.
If any provision is held unenforceable, the remaining provisions remain in full force. Failure to enforce a provision is not a waiver. You may not assign these Terms without Ziroo’s written consent. Ziroo may assign these Terms as part of a merger, acquisition, corporate reorganization, or sale of assets.
